Ondo introduces private-company notes with initial focus on AI

ONDO

Ondo Finance announced Ondo Private Markets on October 6, expanding its tokenization business into instruments linked to privately held companies. The first planned product provides exposure to an unnamed pre-IPO artificial intelligence company. The announcement extends Ondo’s activities beyond publicly traded stocks and Treasury products, with secondary-market trading in the initial notes expected to begin during the week of the announcement, subject to the product’s eligibility and jurisdictional requirements.

The instruments are tokenized notes tied to a company’s per-share value at qualifying liquidity events. They are issuer obligations rather than shares in the underlying business and do not provide ownership or shareholder rights. Ondo said the products would be available to eligible non-U.S. investors in permitted jurisdictions. Those terms define the exposure being offered: an investor holds a financial claim linked to specified outcomes, rather than appearing on the private company’s shareholder register.

Ondo intends the notes to be transferable and usable within compatible blockchain applications, with secondary trading available around the clock. Continuous trading can provide an avenue for adjusting positions before a qualifying liquidity event. It does not change the private company’s own reporting practices or automatically produce deep liquidity. The structure therefore brings together two separate markets: the underlying private business and the blockchain-based instrument referencing its eventual financial outcome.

The company identified robotics, cybersecurity, biotechnology and infrastructure as potential areas for later products. Its immediate milestone is the announcement of the platform and the initial AI-linked offering, with subsequent launches determining how broad the range becomes. For Ondo, private markets create another distribution opportunity within tokenized finance. Product terms, issuer arrangements and actual secondary-market activity will establish how these notes function alongside its existing stock and Treasury offerings.
