MoonPay agrees to buy broker-dealer North Capital in all-stock deal

North Capital holds several US securities registrations, including broker-dealer, alternative trading system, transfer agent, and investment adviser credentials. It offers custody, secondary trading, and tokenization of debt and equity, and has handled more than $8.7 billion in primary and secondary transaction volume, according to the companies.
For MoonPay, best known for helping consumers buy crypto with cards and bank transfers, the acquisition supplies regulated securities infrastructure that would otherwise take years to license. The company said the deal supports an expansion into tokenized assets, decentralized finance, and stablecoin liquidity alongside its existing payments business.
Buying an existing registered firm has become a common route into tokenized securities, because the licenses matter as much as the technology. The next steps are regulatory review of the change in ownership and MoonPay's decisions about which tokenized products to offer through North Capital's systems.
